Syracuse, Utica Stations Go From 'Old' Galaxy To 'New' Galaxy

GALAXY COMMUNICATIONS is transferring twelve full-power licenses in the SYRACUSE and UTICA markets and one translator, W263CG/COLONIE, NY, from GALAXY COMMUNICATIONS, L.P. to GALAXY COMMUNICATIONS, LLC. One station, Classic Hits WZUN (SUNNY 102)/PHOENIX-SYRACUSE, is being transferred to a separate company, WZUN COMMUNICATIONS LLC, headed by WAYNE MACK, for $1 million. While ED LEVINE remains manager of the companies, the move removes investor ALTA COMMUNICATIONS VIII, LP from ownership, replaced by LEVINE's GC LAURPAM. ATALAYA SPECIAL OPPORTUNITIES FUND IV LP and ATALAYA SPECIAL OPPORTUNITIES FUND IV (CAYMAN) LP will hold warrants for membership in the new GALAXY and an option to purchase WZUN. The new GALAXY is assuming about $10.3 million in debt from the old GALAXY as consideration for the transfer.
