Cox-Apollo Radio Deal, With $500,000,000 Price Tag, Filed With FCC

Cox Deal Filed

COX MEDIA GROUP has filed the paperwork for the sale of its radio stations to the "new" version of COX RADIO, INC., transferring control from COX ENTERPRISES, INC. to APOLLO GLOBAL MANAGEMENT's TERRIER MEDIA BUYER, INC. for $500,000,000. APOLLO's AP IX TITAN MEDIA HOLDINGS, L.P. will hold 77% of the stock of TERRIER MEDIA HOLDINGS and COX ENTERPRISES will retain a majority of the rest, with BRIAN BRADY, BRISTLECONE, LLC, and JASON R. WOLFF, principals in TERRIER's other acquisition NORTHWEST BROADCASTING, holding the remainder. COX and BRADY will have the right to appoint one member each to the board of TERRIER (COX may get more depending on the proportion of its minority share). The deal also includes the COX REPS, INC. advertising sales division and CCI NEWS SERVICE, INC.

The paperwork has also been filed for the spinoff of Top 40 WPYO (POWER 95.3)/MAITLAND-ORLANDO and Alternative WSUN (97X)/HOLIDAY-TAMPA (plus boosters in ST. PETERSBURG and PINELLAS PARK) to a trust, CXR RADIO, LLC, headed by ELLIOT B. EVERS.

SAM ROGATINSKY's GULF COAST BROADCASTING, LLC is selling Country WKNK (103.5 HANK FM)/CALLAWAY, FL, Adult Hits WASJ (BOB FM 105.1)/PANAMA CITY BEACH, and Classic Rock WRBA (CLASSIC ROCK 95.9)/SPRINGFIELD, FL to AARON S. LEE's GREAT AMERICAN MEDIA, L.L.C. for $700,000. ROGATINSKY bought the three stations from POWELL BROADCASTING COMPANY, LLC for $325,000 in a deal that closed a month ago and controversially instituted a policy of airing excerpts of a President TRUMP speech every hour on the stations.

RUSS NEWELL's NEWELL BROADCASTING CORP. is selling Country KFLN-A, Classic Rock KJJM (THE ROCK 100.5), and K254DO/BAKER, MT to JAY NEWELL's NEWELL MEDIA, LLC for $650,000.

REFUGE MEDIA GROUP is donating noncommercial Contemporary Christian KRGM (THE REFUGE)/MARSHALL, MN; KRFG/NASHWAUK, MN; WJRF/DULUTH, MN; K206DI/MANKATO, MN; K208FJ/FAIRMONT, MN; K208EX/BRANDON, SD; K210CG/SPIRIT LAKE, IA; K215DU/HUTCHINSON, MN; K220HY/SPENCER, IA; K220BI/GRAND MARAIS, MN; K220IT/WATERTOWN, SD; K256CW/GRAND RAPIDS, MN; K270DZ/NEW ULM, MN; K277CC/PENNOCK, MN; K288EV/BROOKINGS, SD; and K288GA/SIOUX FALLS, SD to UNIVERSITY OF NORTHWESTERN - ST. PAUL.

Applying for STAs were CUMULUS' RADIO LICENSE HOLDING CBC, LLC (WLAV-F/GRAND RAPIDS, temporary operation from new antenna site) and SALEM MEDIA OF HAWAII, INC. (KHCM/HONOLULU, operation from temporary site while work is done at main site).

Filing for a Silent STAs was IGLECIA DE JESUCRISTO, ISRAEL, INC. (KXWS-LP/WATSONVILLE, CA, awaiting minor change).

FRC OF ALABAMA, LLC d/b/a FOCUS RADIO COMMUNICATIONS has closed on the sale of WIEZ-A and W288EB/DECATUR, AL (to be W234DN/ATHENS, AL) to MKRADIO1, LLC for $131,500

And WHSL LLC has closed on the donation of Silent WHSL/LISMAN, AL to Dr. MICHAEL AUGUSTUS' AUGUSTUS FOUNDATION INC. for a $42,000 tax receipt.

In a deal yet to appear in the FCC database, GREAT LAKES RADIO is selling Classic Rock WRPP/MANISTIQUE, MI-W254AG/ESCANABA, MI and Oldies WQXO-A-W249DR (GOOD TIME OLDIES 97.7 FM 1400 AM)/MUNISING, MI to ROAM MEDIA, INC. for an undisclosed price plus an LMA starting AUGUST 1st, according to NBC affiliate WLUC-TV/MARQUETTE.  GREAT LAKES RADIO, INC. recently filed to sell Country WFXD/MARQUETTE, MI, AC WKQS/NEGAUNEE, MI, Classic Rock WRUP/PALMER, MI, and translators Sports W260AG/ISHPEMING, MI-W286BC/MARQUETTE (FOX SPORTS MARQUETTE), Oldies W248BU (GTO)/ISHPEMING, and CHRISTMAS W291CJ/MARQUETTE (THE GIFT) to CHARLES WILLIAMS' MEDIABREW COMMUNICATIONS for $2 million.
